2. Acceptance of Terms

By using this website, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing this website on behalf of a third party, you confirm that you have the authority to bind that party to these Terms. Use of this website by persons under the age of 18 is not permitted.

3. Service Description

Thornwell provides estate law services to individuals and families in Malaysia, with particular experience in matters arising under Penang jurisdiction. Our services include:

  • Will drafting in accordance with the Wills Act 1959
  • Letter of Administration filing under the Probate and Administration Act 1959
  • Inheritance dispute mediation

6. Payment Terms

Service fees are set out in the engagement letter provided before work commences. Fees are payable in Malaysian Ringgit (MYR). Payment terms are specified in the engagement letter and may include a deposit payable upon engagement. Disbursements and third-party costs incurred on your behalf will be communicated and agreed upon before they are incurred. We accept payment by bank transfer and other methods as agreed at the time of engagement.

7. Service-Specific Terms

Will Drafting

The will drafting service includes one revision cycle. Additional revisions may be subject to additional fees as agreed. A will prepared by Thornwell reflects the instructions provided by the testator at the time of engagement. Changes in circumstance after execution may require a codicil or new will.

Letter of Administration

Timelines for obtaining a grant of administration are estimates only and are subject to court scheduling and procedural requirements. Thornwell does not guarantee specific completion dates. Court filing fees and disbursements are payable in addition to the service fee.

Mediation

Mediation is a voluntary process and Thornwell does not guarantee that an agreement will be reached. The service fee covers the structured mediation process including preparation and documentation. If additional sessions are required beyond those included, additional fees may apply as agreed.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Thornwell's liability arising out of or in connection with the use of this website is limited to direct losses only. We exclude liability for indirect, consequential, or incidental losses. Our aggregate liability in connection with any matter is limited to the fees paid for that specific engagement. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

10. Termination

Either party may terminate the engagement by providing written notice. Upon termination, fees for work completed up to the date of termination are payable. Thornwell reserves the right to terminate an engagement where a conflict of interest arises, where instructions become unclear, or where required by applicable professional obligations. Clauses relating to confidentiality and intellectual property survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising in connection with these Terms or the use of our services shall first be subject to good-faith negotiation. If resolution cannot be reached informally, the matter shall be subject to the jurisdiction of the courts of Penang, Malaysia, unless the parties agree otherwise in writing.

12. General Provisions

  • Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.

13. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with an updated date. Continued use of our website or services following any changes constitutes acceptance of the updated Terms.
